Terms & Conditions


1. SERVICES

65th North Group, LLC (65th North Group) will provide a custom internal control assessment to client (Client) with recommended policies as listed in our proposal.


2. TERM and TERMINATION

This agreement is effective once Client accepts these terms and conditions and the proposal. 


The agreement can be terminated by either party with ninety (90) days notice. Any work not yet performed by 65th North Group at the end of the 90 days notice will result in a prorated refund issued to Client.

 

3. CONFIDENTIALITY

65th North Group may have access to or receive certain information about Client that may be confidential or that, under the circumstances surrounding the disclosure, ought to be treated as confidential. Confidential information includes information related to Client's business operations, financial statements, budgets and projections, customer identifying information, potential or intended customers, employers, products, computer programs, specifications, manuals, software, analyses, strategies, marketing plans, business plans, or other confidential information provided orally or in writing. 65th North Group will treat the information as confidential and will not disclose it to any third party unless required to do so by law.


4. INDEMNIFICATION

65th North Group is not a law firm and does not provide legal advice. It is Client's responsibility to design and implement a system of internal controls and 65th North Group and its employees are not responsible for Client employee misconduct or Client not preventing, deterring, or detecting Client employee misconduct. Client shall indemnify 65th North Group and its members, managers, employees, agents, contractors, and assigns from all claims that may arise from Client's business operations or any incident of Client employee fraud, theft, embezzlement, misappropriation of resources, or other employee misconduct.


5. OTHER ACTIVITIES

During the term of the engagement, 65th North Group is free to engage other organizations and to perform work for those other organizations.


6. ASSIGNMENT AND DELEGATION

Neither party may assign or delegate any rights or performance under this agreement and Client understands that use of Internal Control assessment modules, employee reporting hotlines, and consultations are for the exclusive use of Client.
